SWEEPSTAKES PERIOD: The Land of Nod NYC Pop-UP Store Sweepstakes (the "Sweepstakes") runs from 12:00 AM Central Time ("CT") September 25, 2012 through 11:59 PM CT October 15, 2012 (the "Sweepstakes Period").

SPONSOR: Meadowbrook L.L.C., an Illinois corporation, d/b/a The Land of Nod ("The Land of Nod" or "Sponsor"), with headquarters located at 8135 River Dr., Morton Grove, IL 60053.

ELIGIBILITY: The Sweepstakes is open only to legal residents of the United States who are 18 years of age or older at the time of entry (excluding Guam, Puerto Rico, the U.S. Virgin Islands). Entrants must have pre-existing Internet access and an email account in order to enter the Sweepstakes and must be opted-in to receive email messages from The Land of Nod at the time of the random prize drawings in order to win. Employees of Sponsor, Cheetahmail, PHENOMENON Marketing Inc., Shoutlet, Gilt City, Jetsetter or of any of their respective parent companies, affiliates, agents, or advertising and promotion agencies (collectively, the "Sweepstakes Entities"), and any such employee’s immediate family members (spouse, children, parents and siblings) and those living in the same household of each such employee (whether or not related) are not eligible to enter the Sweepstakes. Void in Guam, Puerto Rico, the U.S. Virgin Islands and where prohibited by law.

HOW TO ENTER:

PRIMARY ENTRY: During the Sweepstakes Period:

(1) Complete the online entry form on the Sweepstakes registration page at landofnod.com/NYC (the "Land of Nod page") and sign up for email messages from landofnod.com; or

(2) Complete the online entry form on the Sweepstakes registration page at Facebook.com/TheLandofNod (the "Facebook Page") and sign up for email messages from landofnod.com.

By entering, entrants agree to receive marketing emails from The Land of Nod. Limit one (1) primary entry per person and per email address per day, regardless of entry method.

ADDITIONAL DAILY ENTRIES: Entrants also may receive up to five (5) additional entries per day by referring friends through the refer-a-friend links available on The Land of Nod Page. The referred friend will receive an email inviting them to register for the Sweepstakes, but will not receive other The Land of Nod marketing communications unless the referred friend either enters the Sweepstakes or otherwise opts in to receive such messages. A referred friend may enter the Sweepstakes by clicking through the refer-a-friend email associated with the respective entrant and supplying a unique email address. Each entrant may refer up to five (5) different friends per day. Entrant will receive one (1) additional entry each time a referred friend successfully enters the Sweepstakes through the refer-a-friend email during the Sweepstakes Period, up to a maximum of five (5) additional entries per day.

GRAND PRIZE AND APPROXIMATE RETAIL VALUE: One (1) Grand Prize is available to be won. The Grand Prize winner (the "Grand Prize Winner") will receive a 2-night trip to New York City, NY including:

(1) Accommodations for two (2) nights for Grand Prize Winner and up to three (3) additional friends or family members who are legal residents of the United States ("Grand Prize Winners Guests") in a hotel selected by Gilt City and JetSetter Travel Concierge. (Approximate Retail Value ["ARV"] -- $2,000);

(2) Round trip airfare to New York City for Grand Prize Winner and Grand Prize Winners Guests (maximum value of $700.00 per ticket, including taxes and fees), with departure and return between November 1, 2012 and December 31, 2012. Flights may not depart or return during the following time periods: November 21, 2012 – November 23, 2012, December 21, 2012 – December 25, 2012 and December 29, 2012. (ARV -- $2,800);

(3) A dinner reservation for Grand Prize Winner and Grand Prize Winner’s Guests arranged by Gilt City/JetSetter Travel Concierge at a New York City restaurant featured on GiltCity.com along with a $500 gift card to use at the restaurant (ARV -- $500);

(4) A $250 credit for the Grand Prize Winner on www.giltcity.com (ARV -- $250);

(5) A $1,000 gift card to The Land of Nod, a $500 Crate and Barrel Shop Card and a $500 CB2 Shop Card (ARV -- $2,000).

The Grand Prize shall be referred to herein as The Land of Nod NYC Pop-Up Store Trip. Total ARV of the Grand Prize is $7,550.

In no event will Sponsor be obligated to award more than the number of prizes indicated above. No cash substitution or transfer of prizes is permitted, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute any portion of the Grand Prize or any other prize with a prize of equal or greater value for any reason, including due to prize unavailability or due to circumstances beyond Sponsor’s control. All gift cards provided to Grand Prize Winner will be subject to the terms and conditions appearing on or otherwise applying to those gift cards.

All prizes and values for prizes won are in US dollars. All taxes are the sole responsibility of the winner; Sponsor is not responsible for any taxes or expenses that any winner may incur as a result of the Sweepstakes or receipt of any prize. Sponsor will provide potential prize winners a Federal W-9 tax form which must be completed prior to receiving the prize. Sponsor will report the prize to the applicable authorities and provide the winner with a 1099 Tax Form.

RANDOM DRAWINGS: One potential (1) Grand Prize winner will be selected from among all combined eligible entries in a random drawing conducted on or about October 16, 2012 by an independent judge whose decisions are final and binding in all aspects regarding this drawing.

The odds of winning a prize will depend on the number of eligible entries received for the Sweepstakes during the Sweepstakes Period.

Potential Grand Prize winner will be notified via email on or about October 17, 2012. Return of any prize notification email as non-deliverable will result in disqualification and an alternate winner will be randomly selected. An Affidavit of Eligibility and Publicity/Liability Release will be attached to the notification email, which, where applicable and permitted by law, must be completed and returned to the address provided and received within 120 hours after the notification attempt. Potential Grand Prize winner also will receive a W-9 tax form which must be completed and returned to the address provided and received within 120 hours after the notification attempt.

Should any potential Grand Prize winner’s completed Affidavit of Eligibility and Publicity/Liability Release, where applicable, for whatever reason, not be returned 120 hours, or should any potential Grand Prize winner otherwise fail to comply with the Official Rules, the Grand Prize will be awarded to an alternate winner selected from among all remaining eligible entries. Any alternate potential Grand Prize winner will be selected in the same manner, with the same requirements and within similar time frames as for the original potential Grand Prize winner.

ADDITIONAL GRAND PRIZE WINNER CONDITIONS: After Grand Prize Winner is confirmed, Sponsor will arrange contact between Grand Prize Winner and Gilt City/Jet Setter Travel Concierge to plan The Land of Nod NYC Pop-Up Store Trip, including booking flights, and securing the hotel and restaurant reservations. Winner must confirm travel dates with Gilt City/Jet Setter Travel Concierge within one (1) week of returning prize notification documents to Sponsor. All aspects of The Land of Nod NYC Pop-Up Store Trip will be selected and determined by Sponsor at Sponsor’s sole discretion. If the approximate retail value of The Land of Nod NYC Pop-Up Store Trip does not equal or exceed $7,550, as determined in Sponsor’s sole discretion, the difference will be awarded by Sponsor to Grand Prize Winner as a The Land of Nod Shop Card.

In advance of The Land of Nod NYC Pop-Up Store Trip, Sponsor will provide each of Grand Prize Winner’s Guests with a Publicity/Liability Release which must be completed and returned to Sponsor within 120 hours in order for Grand Prize Winner’s Guest to participate in The Land of Nod NYC Pop-Up Store Trip. Grand Prize Winner shall not be entitled to any compensation from Sponsor in the event that (1) The Land of Nod NYC Pop-Up Store Trip does not occur for reasons beyond the control of Sponsor, including but not limited to an inability of Grand Prize Winner to participate in The Land of Nod NYC Pop-Up Store Trip during the timeframes outlined above, or due to travel delays or cancellations, etc., or (2) less than three (3) of Grand Prize Winner’s Guests are able to participate in The Land of Nod NYC Pop-Up Store Trip.

Except where prohibited by law, Grand Prize Winner and Grand Prize Winner’s Guests also must be willing, in addition to signing and abiding by the terms of the Publicity/Liability Release described above:

• To be interviewed by telephone, video or otherwise; and
• To make him/herself available for such interviews and/or appearances as Sponsor may request following the conclusion of the Sweepstakes Period; and
• To have him/herself identified as a Grand Prize Winner or Grand Prize Winner’s Guest and photographed and/or videotaped at The Land of Nod NYC Pop-Up Store Sweepstakes, with such photographs and/or videotapes to be disclosed and displayed in any media, including but not limited to the blog(s), Facebook page(s), Twitter account(s), website(s), email(s) and catalog(s) of Sponsor and Sponsor’s affiliates, at Sponsor’s sole discretion; and
• To otherwise participate in such marketing and promotional events and activities relating to the Sweepstakes as Sponsor may request.
• To comply with any and all rules and regulations of any entity or vendor providing services in connection with The Land of Nod NYC Pop-Up Store Trip.

Where permitted by law, Grand Prize Winner and Grand Prize Winner’s Guests must agree to make themselves exclusively available to Sponsor for publicity and promotion relating to the Sweepstakes, and must agree not to allow interviews relating to the Sweepstakes by other media outlets, including television, magazines, newspapers, radio and Internet, and/or by competitors of Sponsor, unless expressly authorized to do so in writing by Sponsor. This obligation shall be and remain in effect through January 25, 2012.

MISCELLANEOUS TERMS: This Sweepstakes is subject to all applicable federal, state and municipal laws and regulations. By participating, entrants agree to be bound by these Official Rules and the decisions of Sponsor, which are final in all respects, and agree to receive marketing emails from Sponsor. By accepting a prize, confirmed winners further agree: (1) that Sponsor may (unless prohibited by law) use winner’s name, comments, city of residence, photograph, image and/or likeness for advertising and/or other promotional purposes without further review or compensation in any media, in perpetuity and worldwide, and, where applicable, entrant waives his/her moral rights therein, unless prohibited by law(2) to release and hold harmless Sponsor, along with its affiliates, advertising and promotions agencies, prize suppliers (including, but not limited to, Gilt City, Inc. and its affiliated companies) and any other agency that provides services in connection with this Sweepstakes, including but not limited to Facebook (collectively, the "Released Parties")from and against any and all rights, claims and causes of action whatsoever that he/she may have, or which may arise, for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to any person, including death or property damage, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a prize in the Sweepstakes, or their participation in the Sweepstakes, or their participation in any Sweepstakes-related or prize-related activity including, but not limited to The Land of Nod. By accepting the Grand Prize, Grand Prize Winner further agrees to indemnify, defend and hold the Released Parties harmless from and against any and all losses, costs, liabilities, expenses or claims (including, without limitation, reasonable attorneys’ fees and court costs) resulting from any claim, suit, action or proceeding by any third-party, including but not limited to any or all of Grand Prize Winner’s Guests, alleging or asserting any injury, loss, damage, whether direct, compensatory, incidental or consequential, to any person, including death or property damage, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a prize in the Sweepstakes, or their participation in the Sweepstakes, or their participation in any Sweepstakes-related or prize-related activity including, but not limited to The Land of Nod NYC Pop-Up Store Trip. Grand Prize Winner also further acknowledges that the Released Parties have neither made, nor are in any manner responsible or liable for, any warranty, representation, condition or guarantee, expressed or implied, in fact or in law, relative to any prize or the Sweepstakes itself.

This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Facebook. Any questions, comments or complaints regarding the Sweepstakes must be directed to the Sponsor and not to Facebook. Any information provided by any entrant is provided to Sponsor, not to Facebook.

Sponsor is not responsible for incomplete, lost, late, damaged, illegible, misplaced or misdirected entries or faulty transmissions, technical computer hardware or software failures of any kind, lost or interrupted or unavailable network connections, or failed, incomplete, garbled, misrouted, scrambled or delayed computer transmission, or other errors or problems of any kind, whether mechanical, human, electronic or otherwise, that may limit a user’s ability to participate in the Sweepstakes. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prizes. Sponsor assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty, failed, garbled or jumbled electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Sweepstakes; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of the operation of the Sweepstakes; (d) inaccessibility or unavailability of the Internet or any website or any combination thereof; or (e) any injury or damage to any participant’s or to any other person’s computer or other property that may be related to or resulting from any attempt to participate in the Sweepstakes or download any materials in the Sweepstakes.

Sponsor reserves the right to (1) disqualify any entrant and void any entries of an entrant who has engaged in unsportsmanlike conduct, fraud or other misconduct relative to this Sweepstakes, has acted in a manner Sponsor deems to be disruptive or in violation of the Official Rules, has acted with intent to annoy, abuse, threaten or harass any other person, or otherwise has attempted to tamper with or impair the Sweepstakes, including by registering via multiple email addresses, and (2) to cancel, modify, suspend or terminate the Sweepstakes if, in Sponsor’s sole opinion, technical failures, applicable laws or regulations, viruses, bugs, unauthorized human intervention or any other cause beyond Sponsor's control destroys the integrity of the Sweepstakes or otherwise corrupts or impairs the administration, security, legality, fairness or proper play of the Sweepstakes or any part thereof. Sponsor reserves the right to have its representatives present for all portions of The Land of Nod NYC Pop-Up Store Trip.

If, for any reason, the Sweepstakes is not capable of running as planned for reasons that may include without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, violation of applicable law or regulation or any other causes that may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes in whole or in part.

In the event of a dispute regarding who submitted an entry, the entry will be deemed to have been submitted by the authorized account holder of the email address submitted on the entry form at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet service provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted email address.

CAUTION: ANY ATTEMPT BY A USER OR ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

WINNER’S IDENTIFICATION: The name and city/town of residence of Grand Prize Winner can be obtained by sending a written request to Sponsor. Written requests must be received by Sponsor between October 25, 2012 and February 1, 2013 (the "Request Period") and must include a self-addressed, stamped envelope bearing sufficient postage. Requests must be sent to: The Land of Nod, Attn: The Land of Nod NYC Pop-Up Store Sweepstakes Winner Identification, 8135 River Dr., Morton Grove, IL 60053, along with a written request for such information. Such requests will be honored only if received during the Request Period; requests received after the last day of the Request Period will not be honored.

DISPUTES: Except where prohibited, you agree that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the state of Illinois. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the state of Illinois, without giving effect to any choice of law or conflict of law rules that would cause the application of the laws of any jurisdiction other than the state of Illinois.
